1. Links
It is your responsibility to set up the links from your web site to the Web-Hotels site in accordance with our format. Instructions on how to do this can be found in the How to Link to Web-Hotels section. You may have as many links from your site as you wish. As an affiliate you may not promote your links to Web-Hotels through unsolicited e-mailing (SPAM), newsgroup postings or any other method of unsolicited mass communication on the internet. Links in opt-in mailing lists are permitted.

    2. Contact Details
You are responsible for keeping your contact details up to date. This is done by completing and modifying when necessary your profile details in the affiliates login area. You accept that if your do not do this you may not receive payments due and you do not hold Web-Hotels responsible in any way.

    3. Processing and Tracking Click Throughs
Web-Hotels will be responsible for all aspects of processing click throughs from users who follow links from your web site. Web-Hotels will also take care of tracking of customers who followed links from your site and Web-Hotels will send you e-mails advising you of your commission.

    4. Commission
Web-Hotels will pay the sum of 0.060 pounds sterling per valid click through from your web site. There is also a provision for affiliates who provide a relatively high and constant volume of traffic to increase the commission to a preferential rate.

    5. Accounting
Web-Hotels will pay you accumulated commission fees quarterly within 30 days after the end of each calendar quarter (i.e. within 30 days after March 31, June 30, September 30 and December 31). Fees worth less than 10 pounds sterling will be carried forward to the next quarter.

    6. Limited License
Web-Hotels grant you a non-exclusive, revocable right to use the Web-Hotels graphics which are specified in the How to Link to Web-Hotels section, solely for the purpose of identifying your web site as a Web-Hotels affiliate. You may not modify the graphics without permission on our part. Web-Hotels may revoke your license at any time, by written notice to you.

    7. Responsibility for Your Web Site
You will be solely responsible for the development, operation, and maintenance of your site and for all material that appear on your site. In particular you will be responsible for:

• The technical operation of your web site and all related software and hardware.
• The accuracy, appropriateness and legality of information about Web-Hotels which you post on your web site.

Furthermore, you hereby hold Web-Hotels exempt from all claims for damages (including, without limitation, legal fees) relating to the development, operation, maintenance and contents of your web site.

    8. Term of Agreement
The term of this Agreement will begin upon our acceptance of your web site to the affiliates programme and may be terminated by either party by written notice. The cause for the termination does not have to be disclosed at any time. You are only eligible to claim commission earned during the Term of Agreement.

    9. Relationship of Parties
You and Web-Hotels are independent parties and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your web site or otherwise, that within reason would contradict anything in this agreement.

    10. Limitation of Liability
Web-Hotels will not be liable for indirect, special or consequential damages, or any loss of revenue, profits or data, arising in connection with this Agreement or the programme, even if Web-Hotels have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the program will not exceed the total referral fees paid or payable to you under this Agreement. Web-Hotels may also remove you from the Web-Hotels affiliates programme at any time should Web-Hotels deem your approach to the programme to be damaging in any way to Web-Hotels. Should this occur Web-Hotels will evaluate any future applications to the programme on your part.

    11. Disclaimer
Web-Hotels disclaim any liability in any matters involving your web site or in your approach to the affiliates programme. Web-Hotels make no express or implied warranties or representations with respect to the programme. Web-Hotels will make their best effort to maintain the Web-Hotels site's functionality, however, technical difficulties may occur from time to time which may cause temporary interruptions to our service. Web-Hotels will not be liable for the consequences of any such interruptions or errors.

    12. Acknowledgment
You acknowledge that you have read this document and agree to all its terms and conditions. You understand that Web-Hotels may at any time (directly or indirectly) solicit customer referrals on terms that may differ from those contained in this agreement or operate web sites that are similar to or compete with your web site. You have independently evaluated the desirability of participating in the programme and are not relying on any representation, guarantee or statement other than as set forth in this agreement.

    13. Miscellaneous
This agreement is governed by relevant laws and is subject to change as and when these laws do. Web-Hotels reserves the right to modify the terms of this agreement at any time.
